CuFe Moves To Take Full Control Of Tennant Creek
CuFe, a West Leederville-based miner incorporated in 2005 and formerly known as Fe Limited until a November 2021 rebrand, has announced an agreement to acquire Gecko Mining Co. from Gold Valley Investment and Horseshoe Manganese. The all-share transaction will give CuFe complete control of the Tennant Creek copper project in Australia's Northern Territory, eliminating the need for joint-venture negotiations on budgets and development timelines.
The acquisition comes after CuFe delivered a 400% increase in Gecko's resource estimate in August 2025, expanding the deposit to 18.4 million tonnes at 2.01% copper and 0.25 grams per tonne gold. The company disclosed to the ASX that the broader Tennant Creek resource now contains a 23.5 million-tonne inventory grading 1.73% copper and 0.72 grams per tonne gold. On a 100% basis, the project holds 405,000 tonnes of copper, 544,000 ounces of gold, 2.9 million ounces of silver, and 16,500 tonnes of bismuth.
The transaction will significantly reshape CuFe's ownership structure. Gold Valley and its associates are expected to control approximately 53% of the company's shares following the issuance, though 500 million of the 1.6 billion new shares will face a 24-month holding lock as security for warranty claims. This concentration of ownership raises governance questions for minority shareholders, particularly regarding board composition, related-party transactions, and future capital raising arrangements.
Historic Mining District Attracts Government Support
The Tennant Creek Mineral Field has produced more than 5 million ounces of gold, approximately 470,000 tonnes of copper, and more than 21,000 tonnes of bismuth since mining operations began in 1932. This production history underscores the region's mineral endowment and provides context for recent collaborative efforts to develop shared infrastructure.
CuFe is part of the Tennant Creek Copper Alliance alongside Emmerson Resources and Tennant Minerals, a partnership formed in October 2024 to investigate a multi-user processing facility for copper, gold, and critical metals. The alliance secured $600,000 in combined Northern Territory and Federal Government grants in February 2026 for a feasibility study on the shared processing facility, with completion targeted for June 2026. This government backing and potential for shared infrastructure could improve project economics compared to standalone development.
The company has also attracted institutional interest. Pan African Resources subsidiary Tennant Consolidated Mining Group made a $15.3 million placement in CuFe, taking a 15% equity stake and nominating Peter Main to the board, signaling confidence in the project's development potential.
Drilling Results And Approval Timeline Ahead
Drilling at Tennant Creek commenced in October, with initial assay results scheduled for early December. These results will provide the first test of whether the expanded resource estimate can be confirmed and potentially extended through exploration.
The acquisition faces several conditions and milestones. CuFe must confirm satisfactory due diligence by 16 November 2026, and all conditions must be met by 31 March 2027. The company plans to dispatch the notice of meeting in December and hold a shareholder meeting in January, with completion targeted for January 2027 pending approvals.
The extended timeline to closure means investors will be evaluating two distinct factors: whether sole ownership streamlines decision-making and improves project economics, and whether the resulting ownership concentration creates risks around minority shareholder protections and future funding requirements. As Tennant Creek transitions from exploration to potential development, the governance framework and clarity around future capital needs will likely influence how the market values the consolidated structure.
